🤝 Partnership Foundation
This website is owned and operated by Velorentara. By accessing this website or engaging our services, you enter into this Agreement with Velorentara and agree to comply with these terms. If you do not agree, please do not use this website.
1
Agreement & Acceptance of Terms
These Terms of Service ("Agreement") govern your access to and use of Velorentara.com, our proprietary analytics software (Kite), and all related digital marketing, PPC management, SEO, CRO, email marketing, and creative production services provided by Velorentara ("Agency", "we", "our", or "us").
Your continued engagement or submission of marketing plan request forms signifies your irrevocable acceptance of these provisions.
2
Not Everyone Qualifies for a Free Marketing Plan
We dedicate significant hours of senior strategist, design, and analytics resources to craft each customized $10,000 Marketing Plan 2.0. Consequently:
- Discretionary Evaluation: Velorentara withholds the sole and exclusive right to determine which companies qualify and represent a mutual strategic fit for our complimentary audit.
- Submission Non-Binding: Requesting a free marketing plan does not create an obligation or guarantee that a full custom plan will be produced.
3
Professional Services & Performance Reality
Regardless of any historical case study data or average outcome metrics (such as our documented 63% average client ROI lift in the first 3 months), the Agency in no way guarantees a specific revenue, lead volume, or ROI figure for any individual Client.
Client acknowledges and agrees that they are engaging the Agency to perform specialized digital marketing services and execution at the highest professional industry standard. However:
- The Agency exercises no direct control over third-party advertising platforms (including Google, Meta), their algorithmic modifications, sudden policy shifts, auction price volatility, or account approval reviews.
- Client success depends on interdependent external factors including client product quality, sales team responsiveness, brand reputation, pricing competitiveness, and macroeconomic conditions.
4
Non-Disparagement & Mutual Professional Integrity
The Parties mutually agree not to disparage, slander, or defame, directly or indirectly, each other or their respective officers, directors, employees, agents, or affiliates, whether during the active Term or following termination of any engagement.
This provision applies across all public forums, social media channels, and digital publications. Nothing herein shall prohibit either Party from making truthful statements required in connection with official legal proceedings or governmental investigations.
5
Payment Authorization & Month-to-Month Billing
Velorentara champions transparent, contract-free partnerships. To maintain this flexibility without operational interruptions:
- Automatic Deductions: Upon signing an engagement agreement, Client authorizes Velorentara to automatically deduct monthly service retainer fees from the designated credit card or ACH banking method on file.
- Month-to-Month Flexibility: Services operate on a standard 30-day recurring billing schedule. Client may terminate or pause services by providing written notice in accordance with the specific statement of work (typically 30 days written notice).
- Third-Party Ad Spend: Client remains solely responsible for direct ad spend payments owed directly to ad platforms (Google Ads, Meta Ads Manager, etc.). Client must maintain an active payment card directly within their own ad accounts.
6
Full Client Ownership of Accounts & Intellectual Property
We stand firmly against agency hostage-taking:
💎 100% Ownership Guarantee
All advertising accounts (Google Ads, Meta Business Manager, Analytics), custom landing pages, video recordings, copy, graphic designs, and custom audience lists generated during the partnership belong exclusively to YOU (the Client).
We operate inside your accounts with delegated agency partner permissions. If you ever decide to discontinue services, your accounts, past campaign history, Quality Scores, and creative assets remain completely intact in your hands.
7
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Velorentara, its officers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, revenue, or business reputation) arising out of or related to this Agreement or platform service interruptions.
Velorentara's aggregate total liability for any and all claims arising hereunder shall not exceed the total service fees actually paid by Client to Velorentara during the two (2) months immediately preceding the event giving rise to liability.
8
Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or dispute arising out of this Agreement shall be brought exclusively in the state or federal courts located in Orange County, California.
